This Software Product is protected by copyright laws and copyright treaties, as well as other intellectual property laws and treaties.  It is licensed, not sold.

This Site Licence Agreement is a legal agreement between you the "Licensee" (either an individual or a single entity) and Denford Ltd., for this Software Product.  By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this Licence Agreement.  If you do not agree to the terms of this Licence Agreement, promptly return the unused Software Product to the place from which you obtained it for a refund.

DEFINITIONS
The following expressions have the meaning set opposite, namely:
"Denford" means Denford Limited, being either the owner of all intellectual property rights in the Software Product, or having the right to grant licences of the Software Product.
"Developer" means any third party developer who retains copyright in the Software Product.
"Documentation" means the printed user documentation supplied in the Software Product.
"Software" means the computer program contained in object code form on the media supplied in the Software Product.  It includes any "online" or electronic documentation.

LICENCE
Denford hereby grants you a personal, non-transferable, non-exclusive licence as follows:
You may make as many complete copies of the Software as you wish, provided that you only use the Software on computers within the Licensed Site, whether these computer systems are linked by network(s) or are stand-alone systems.
Only one computer with a single user license may be in use at any time
You must ensure that the copyright notices contained in the Software are reproduced and included in any copy of the Software.
You may not:
make copies of only part of the Software; or
make the Software or the Documentation available to any third party by way of a loan or hire; or
incorporate any part of the Software into other programs developed or used by you;
copy the Documentation for use on any site other than the Licensed Site; or
transfer or use the Software outside the Licensed Site.

TERM
This licence remains in effect unless you terminate it:
by destroying the Software and all copies, and the Documentation, or
by failing to comply with the Conditions.
by transferring the Software Product permanently to a third party.  As each Software Product is personalised by the Registration Disk contained in it, such a transfer can only be performed under the following conditions:
you must transfer all of the Software Product, except your personalised Registration Disk, to the third party.  The transfer must include the media and printed materials, any upgrades and, if the Software Product is an upgrade, all prior versions of the Software Product.
you must retain no copies of the Software Product.
you must return to Denford a physical copy of the Registration Disk and a statement to confirm all installations of the software have been deleted and that you give up all rights to its use.   Supply full details of the third party.   Denford will then supply the new user with a security key on payment of an administration fee.


The Software Product is provided "as is"; neither Denford nor the Developer make any warranty, whether express or implied, of the merchantability of the Software Product or its fitness for any particular purpose.
In no circumstances will Denford be liable for any damage, loss of profits, goodwill or for any indirect or consequential loss arising out of your use of the Software Product, or inability to use the Software Product, even if Denford has been advised of the possibility of such loss.

GENERAL
These conditions supersede any prior agreement, oral or written, between you and Denford relating to the Software Product.
